Investment Process

Regulation Crowdfunding (RegCF) allows eligible issuers to offer and sell securities through the platform of a broker-dealer or funding portal that is both registered with the SEC and a FINRA member (an “intermediary”). This activity must be conducted exclusively through the platform of a single intermediary.

Perfect Location – Perfect Time

Pickleball is the fastest growing sport in the US, and has been for the last few years. We don’t see that trend slowing down any time soon. The biggest limiter for growth is the number of available courts. And there is a BIG DIFFERENCE between dedicated pickleball courts and taped off, temporary net courts. The experience is MASSIVE. Los Angeles and NYC are the two locations which have the highest demand for courts based on the number of players and the limited number of available places to play.

Use of Proceeds

In addition to this RegCF Offering, we are also raising capital via a Regulation D (RegD) Offering. The RegD Offering is for investments of $25k or more, however the price per Unit is exactly the same for both offerings. Phase 1 is focused on building out the indoor courts, reception area, pro shop, athlete recovery center, bathrooms, podcast studio, beer/wine garden, and 2nd floor event space. Phase 2 is focused on building out the outdoor courts, the 2-story clubhouse, the 2nd floor event space, the patio, and gathering areas.

Centrally Located

Currently there are no dedicated pickleball clubs in Los Angeles. Hard to believe, however we have the solution now. LA based pickleball is played mainly at city parks and a few tennis clubs also have some pickleball courts. Dedicated pickleball clubs enjoy wonderful competition, plenty of courts and a vibrant community atmosphere.

Phase 1 – Indoor

We are building 9 dedicated and individually fenced pickleball courts with 1 training court. Additionally, phase 1 will include a reception area, pro shop, athlete recovery center, bathrooms and a 3,000 square foot event space / loft. We will also have a dedicated podcast studio!

Phase 2 – Outdoor

We are building 26 dedicated, lighted pickleball courts outside with a 2-story clubhouse, bathrooms, patio and fire pit. Our clubhouse will include light food and beverage services and a second floor event space / loft.

Why is PowerPlay Pickleball raising money?

PowerPlay Pickleball is a DBA for Pickleball Etc LLC. We want to share our company growth opportunity with the greater pickleball community. Maturing industries like pickleball don’t happen very often – we believe including more people as owners of our company will help us all build the #1 club in the world. We are very excited to grow PowerPlay Pickleball through grassroots, player to player engagement.

What will the money raised be used for?

The majority of the capital will be used to help complete the construction of the outdoor pickleball courts (Phase 2). In this phase of the development, we will be building approximately 26 outdoor, lighted courts with gathering areas, a clubhouse, patio and more.

How does investing work?

When you complete your investment, your money will be transferred to an escrow account where an independent escrow agent will watch over your investment until our company accepts it. Once we accept your investment and certain regulatory procedures are completed, your money will be transferred from the escrow account to our company in exchange for your securities. At that point, you will be a proud owner in Pickleball Etc. LLC (DBA: PowerPlay Pickleball).

How much can I invest?

Our company has set a minimum $1200 USD investment per investor.

Anyone can invest in a Regulation Crowdfunding (Reg CF) offering. Because of the risks involved with this type of investing, however, you may be limited in how much you can invest during any 12-month period in these transactions. If you are an accredited investor, then there are no limits on how much you can invest. Include the investment amount of interest and our Broker Dealer will follow up with additional questions, as necessary, if the amount invested is over $2,500.

For Non-Accredited Investors (most fall into this category) the limitation on how much

you can invest depends on your net worth and annual income.

  • If either your annual income or your net worth is less than $124,000, then during any 12-month period, you can invest up to the greater of either $2,500 or 5% of the greater of your annual income or net worth.
  • If both your annual income and your net worth are equal to or more than $124,000, then during any 12-month period, you can invest up to 10% of annual income or net worth, whichever is greater, but not to exceed $124,000.

An accredited investor, in the context of a natural person, includes anyone who:

  • earned income that exceeded $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the prior two years, and reasonably expects the same for the current year, OR
  • has a net worth over $1 million, either alone or together with a spouse or spousal equivalent (excluding the value of the person’s primary residence), OR
  • holds in good standing a Series 7, 65 or 82 license.
What will I need to submit my application for an investment?

To invest, you will need the following information available:

  • Answering some questions so our extended compliance team can perform an in-depth KYC (Know Your Customer) background check
How can I pay for my investment?

You can pay for your investment using a credit card, via an ACH or via a wire transfer from your bank account.

What is a Form C?

A Form C is a document our company must file with the Securities and Exchange Commission (“SEC”), which includes basic information about the company and our offering and is a condition to making a Reg CF offering available to investors. Before making any investment decision, it is highly recommended that prospective investors review our Form C filed with the SEC (included under our Deal Terms) before making any investment decision.

What is a RegCF?

Title III of the JOBS Act outlines Reg CF, a type of offering allowing private companies to raise to $5 million from the general public. Prior capital raising options limited private companies to raise money only from accredited investors, historically the wealthiest ~2% of Americans. Reg CF allows companies to raise funds online from their early adopters and the crowd like a Kickstarter campaign. However, instead of providing investors a reward such as a t-shirt or a card, investors receive securities, typically equity, in the startup companies they back.

What is my ongoing relationship with PowerPlay Pickleball?

After investing in our Reg CF, you are a partial owner of our company! But more importantly, our company will file information with the SEC and post it on our websites on an annual basis after raising money via Regulation CF. In addition to that, as an equity holder, you will be receiving dedicated yearly updates as it is essential for us to keep our equity owners educated and informed about the progress of our company and investment. This annual report will include information similar to our initial Reg CF filing and key information that we want to share with our investors to foster a dynamic and healthy relationship.

Will dividends be paid to investors?

The company’s Managing Member and/or Board of Directors will consider whether to issue dividends at an appropriate time.

How can I sell my PowerPlay Pickleball securities in the future?

At the moment, there is no market or liquidity for these securities. Currently, our company does not plan to list these securities on a national exchange or another secondary market. Our company may choose to do so at some point, but until then, you should plan to hold your investment for a significant time before a “liquidation event” occurs. A “liquidation event” is when our company either lists our securities on an exchange, is acquired or under very unfortunate circumstances, our company goes bankrupt.

There is a way to transfer your shares via a private sale, however this will require additional processes, etc. Please contact us for additional information.

What are the expected returns for my investment?

Because this is an SEC-qualified offering, we cannot predict or comment on expected returns for future earnings. While we cannot assure you of the return on our securities, you can review the explosive growth of the pickleball industry for which we endeavor to be a major online store.

Where is PowerPlay Pickleball located?

Our club is located at 19401 South Main Street Gardena, CA 90248. Although the address says “Gardena”, we operate within the City of Carson, CA.
